1. Agreement to Terms

These Terms and Conditions constitute a legally binding agreement between you ("Client") and VENDONET LTD, doing business as ShortBuild ("ShortBuild," "we," "us," or "our"), concerning MVP development services for SaaS startups. By engaging our services, you agree to be bound by these terms.

2. Services

ShortBuild provides MVP (Minimum Viable Product) development services for SaaS startups, including but not limited to:

• Full-stack web application development
• SaaS product architecture and development
• UI/UX design implementation
• Database design and implementation
• API development and integrations
• Deployment and launch support

Specific deliverables, timelines, and scope will be defined in individual project proposals or contracts.

3. Project Process

Our MVP development process typically includes:

• Discovery Call: Initial consultation to understand your startup idea and requirements.
• Proposal & Agreement: Detailed scope, timeline, and pricing proposal.
• Development Sprints: Iterative development with regular updates and feedback cycles.
• Delivery & Handoff: Final product delivery with full code ownership transfer.

4. Pricing and Payments

Pricing for MVP development services is provided on a project basis. Our standard terms include:

• A deposit is required to commence work (typically 50% upfront).
• Remaining balance is due upon project completion or as specified in milestones.
• Payments are processed securely via Stripe or bank transfer.
• Prices are quoted in USD unless otherwise specified.

5. Code Ownership & Intellectual Property

Upon full payment, you receive complete ownership of all code, designs, and deliverables created for your project. This includes:

• Full source code with no licensing restrictions.
• All custom designs and assets created for your project.
• Documentation and deployment configurations.

We may use generic, non-proprietary code libraries and frameworks that remain under their respective licenses. Any pre-existing intellectual property you provide remains your property.

6. Client Responsibilities

To ensure successful project delivery, clients are expected to:

• Provide timely feedback and approvals during development sprints.
• Supply necessary content, assets, and access credentials as needed.
• Be available for scheduled calls and communications.
• Clearly communicate any changes to requirements or scope.

7. Revisions and Scope Changes

Reasonable revisions within the agreed scope are included in the project price. Significant scope changes or additions may require a revised quote and timeline. We will communicate any scope changes and obtain your approval before proceeding.

8. Refund Policy

Due to the custom nature of MVP development work:

• Deposits are non-refundable once work has commenced.
• Partial refunds may be considered on a case-by-case basis if a project is cancelled mid-development.
• If we fail to deliver as agreed, a full or partial refund will be provided.

9. Confidentiality

We treat all client information, business plans, and project details as confidential. We will not disclose your proprietary information to third parties without your consent, except as required by law.

10. Limitation of Liability

ShortBuild provides MVP development services as a starting point for your product. We are not liable for business outcomes, revenue, or third-party issues arising from the use of delivered software. Our liability is limited to the total fees paid for the specific project in question.
